1. These terms

These terms are an agreement between you and Northern Vector Systems Ltd. (“we”, “us”), a software company in Calgary, Alberta, Canada. They apply when you use Northern Vector Accounts, Chinook Mail, Ledger by Northern Vector Systems or this website (together, “the services”). By creating an account or using the services, you agree to them. If you use the services for an organization, you agree to them for that organization, and you confirm that you are allowed to.

If you or your organization has signed an agreement with us, that agreement governs where it differs from these terms. DFRDS, and the sites we build or run for clients, have their own terms.

Our privacy policy explains how we handle personal information.

2. Your account

  • You must be old enough to enter into a binding contract where you live.
  • Give us accurate information and keep it current.
  • Keep your password, passkeys and recovery codes to yourself, and use two-factor sign-in. Some services require it.
  • You are responsible for what happens under your account. If you think someone else has used it, tell us at once at contact@northernvectorsystems.com.

Some services are open only by invitation, such as Ledger, or only to organizations, such as Chinook Mail, which needs a domain the organization controls.

3. Sharing access

Some services let you share access. An organization’s administrators can invite members, link mailboxes on its domains to people and manage its billing; a ledger’s owner can invite members to it. If you give others access, you choose whom, and you are responsible for removing access they should no longer have.

4. Acceptable use

Do not use the services to:

  • break the law, or help someone else break it;
  • send spam, or any email that breaks Canada’s Anti-Spam Legislation (CASL) or the laws of the recipient’s country;
  • phish, impersonate anyone, or spread malware;
  • store or send content that infringes someone else’s rights, or that harasses, threatens or exploits anyone;
  • get into accounts, data or systems you are not allowed to reach, test our security without our permission, or get around rate limits and other limits;
  • overload or disrupt the services, or collect data from them other than through our published APIs and within their limits;
  • copy, resell or reverse engineer the services, except as the law expressly allows.

If you find a security problem, tell us at contact@northernvectorsystems.com and give us time to fix it before you disclose it. We may hold back mail sent through Chinook Mail when bounces or spam complaints put delivery for other customers at risk.

5. Your content

You own the content you put into the services: your email, records, receipts and files. You give us permission to store, copy, process and transmit it only as far as we need to run the services for you, including through the providers named in our privacy policy. We do not claim ownership of your content, and we do not sell it.

You are responsible for your content and for having the right to put it into the services, including what it says about other people. Content created for an organization, such as mail on its domain, is under that organization’s control.

6. AI features

Some features use AI: the Chinook Mail assistant, and Ledger’s receipt reading and Ask. AI output can be wrong or incomplete. Check it before you rely on it, send it or file it.

7. Our services

We own the services, their software and their design. While you follow these terms, you may use the services for your own purposes or your organization’s. If you send us feedback, we may use it without owing you anything.

Ledger helps you keep records. It does not give tax, accounting or legal advice, and you remain responsible for your books and your filings. We are not responsible for the content of the mail you send or receive.

8. Fees

Some plans cost money. Before you pay for one, we show its price, currency and billing period; sales taxes that apply are added. Payments go through Stripe, under Stripe’s terms.

Subscriptions renew at the end of each billing period until you cancel. You can cancel in the billing portal or by writing to us, and cancelling stops future renewals. If a payment fails, we may limit the paid features until it is made. We tell you before we change a price, and the new price applies from a billing period that starts after we told you.

9. Availability and changes

We work to keep the services running, but unless a signed agreement says otherwise, we do not promise that they will always be available or free of errors. We may interrupt them for maintenance or to deal with a security problem.

We change and improve the services. If a change removes something important that you pay for, or if we stop offering a service, we tell you in advance and give you time to export your data.

10. Ending your use

You can stop using the services at any time. You can delete your Northern Vector Accounts account from its account page; it is deleted 14 days later. To close a Chinook Mail mailbox or a Ledger account, write to us.

Export what you want to keep first. Northern Vector Accounts offers Download my data on the account page. For each business ledger, Ledger exports a year-end archive, with its statements and the receipts linked to that year’s entries, and a GIFI file. For Chinook Mail, ask us and we will help you move your mail.

We may suspend or close your access if you break these terms, if your use puts other people or the services at risk, if the law requires it, or if a paid plan goes unpaid. Where we can, we tell you first and give you a chance to fix the problem.

When an account closes, we delete its data as our privacy policy describes, apart from what the law requires us to keep. Sections 5, 11, 12 and 13 continue to apply after you stop using the services.

11. Disclaimers

We provide the services as they are and as available. To the extent the law allows, we make no promises about them beyond those in these terms; in particular, we do not promise that they suit a particular purpose. Keep your own copies of anything you cannot afford to lose.

If you are a consumer, the law of your province may give you rights that a contract cannot take away. Nothing in these terms limits those rights.

12. Limitation of liability

To the extent the law allows:

  • we are not liable for indirect or consequential losses, such as lost profits, revenue, business opportunities or goodwill;
  • we are not liable for losses caused by events outside our reasonable control, or by your breach of these terms;
  • our total liability for all claims about the services is limited to the greater of what you paid us for the services in the 12 months before the claim arose and 100 Canadian dollars.

Nothing in these terms limits liability for fraud, gross negligence or wilful misconduct, or any liability that the law does not allow us to limit.

13. Governing law

These terms are governed by the laws of Alberta and the federal laws of Canada that apply in Alberta. Disputes go to the courts of Alberta, unless the law of your province gives you, as a consumer, the right to bring them where you live.

14. Changes to these terms

When we change these terms, we post the new version on this page with a new date. If a change is significant, we tell you by email or in the product before it takes effect. If you keep using the services after that, the new terms apply; if you do not agree with them, stop using the services and close your account.

15. General

If a court finds part of these terms unenforceable, the rest still applies. If we do not enforce a term straight away, we can still enforce it later. You may not transfer these terms to someone else without our consent. We may transfer them to a company that takes over the services, and we will tell you if we do. These terms, our privacy policy and any agreement you have signed with us are the whole agreement between you and us about the services.
